END USER LICENCE AGREEMENT (EULA)

This End User Licence Agreement (“EULA“) is a legal agreement between you (“you“, the “User“) and Immersive Edge Limited, a company registered in Scotland (Company Number SC558738) whose registered office is at 5 South Charlotte Street, Edinburgh, EH2 4AN (“Immersive Edge“, “we“, “us“, “our“).
It governs your personal use of the Immersive Edge software, including EdgeHub, EdgeSim and the hosted platform and applications through which our business simulations are delivered (together, the “Software“).
By clicking “accept”, or by accessing or using the Software, you agree to be bound by this EULA. If you do not agree, you must not access or use the Software. You must be at least 18 years old to accept this EULA.
1. Definitions
- “Simulation” means a business simulation made available through the Software.
- “Authorised Access” means access to the Software that has been granted to you by Immersive Edge, or by an organisation that is entitled to provide you with access under its own agreement with Immersive Edge (for example your employer, a customer, or a delivery partner).
- “Your Inputs” means the responses, statements, answers, decisions and other content you provide when using the Software or taking part in a Simulation.
- “Privacy Policy” means our privacy policy, the current version of which is at /privacy-policy/.
2. Licence
In consideration of your agreement to this EULA, Immersive Edge grants you a personal, non-exclusive, non-transferable, non-sub-licensable and revocable licence to access and use the Software during the period of your Authorised Access, solely to take part in or facilitate Simulations.
This licence is for your own use only. It does not give you any right in the Software itself beyond the limited right to use it as set out above, and it does not permit any commercial exploitation of the Software.
3. Relationship with other agreements
Your right to access the Software derives from an agreement between Immersive Edge and the organisation that arranged your access. This EULA governs your personal use of the Software as an individual; it does not vary, supersede or affect that organisation’s agreement with Immersive Edge, and it does not give you any rights under it.
If your Authorised Access ends – for example because the organisation’s agreement ends, or because it withdraws your access – your licence under this EULA ends at the same time.
4. Things you must not do
You must not:
- share your log-in credentials, or allow anyone else to use your access;
- copy, modify, adapt, translate, reverse engineer, decompile or disassemble any part of the Software, or attempt to derive its source code, except to the extent this restriction cannot be excluded by law;
- create derivative works based on the Software or any Simulation;
- sell, rent, lease, sub-licence, distribute or otherwise transfer your access or any part of the Software;
- use the Software, or permit it to be used, to build or assist anyone in building a competing product or service, or access it if you are an employee or contractor of a competitor of Immersive Edge;
- introduce any malware, or attempt to gain unauthorised access to, load test, security test, disrupt or impair the Software or the systems on which it runs;
- use the Software for any unlawful purpose, or in any way that infringes the rights of others; or
- remove, obscure or alter any “Powered by Immersive Edge” notice or other proprietary marking.
5. Your conduct and Your Inputs
When using the Software you must behave lawfully and appropriately, and follow the reasonable instructions of the facilitator and of Immersive Edge.
You must not submit, as part of Your Inputs, any content that is unlawful, defamatory, infringing, obscene or otherwise objectionable, or that contains malware. You are responsible for Your Inputs.
You retain any rights you have in Your Inputs. You grant Immersive Edge a licence to use Your Inputs to the extent necessary to operate the Software and deliver the Simulation, and to use Your Inputs in aggregated and anonymised form (which does not identify you) to analyse and improve our services.
6. Intellectual property
The Software, the Simulations, and all content within them (other than Your Inputs) are owned by Immersive Edge or its licensors, and are protected by intellectual property laws. Except for the limited licence in clause 2, this EULA does not transfer any intellectual property rights to you.
7. Data protection
Where Immersive Edge processes personal data about you in connection with the Software, it does so as described in the Privacy Policy. In most cases, when you take part in a Simulation arranged by an organisation, that organisation is the controller of your personal data and Immersive Edge acts as its processor. Section 9 of the Privacy Policy explains how participant data is handled and how to exercise your rights; for participant data, you should direct rights requests to the organisation that arranged your access, although you may also contact us and we will assist them.
8. Availability and warranties
We provide the Software with reasonable skill and care, but otherwise on an “as is” and “as available” basis. We do not warrant that the Software will be uninterrupted or error-free, or that it will meet your particular requirements. We may update, modify, suspend or withdraw the Software, or any Simulation, from time to time.
Except as expressly stated in this EULA, and to the fullest extent permitted by law, all warranties, conditions and terms implied by statute or common law are excluded.
9. Liability
Nothing in this EULA limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded by law.
Subject to that, we will not be liable to you for any indirect or consequential loss, or for loss of profit, business, goodwill or anticipated savings, whether arising in contract, delict (including negligence) or otherwise; and our total liability to you arising out of or in connection with this EULA and your use of the Software shall not exceed £100.
Because your access is normally arranged and paid for by an organisation rather than by you, this EULA governs only your personal use; any liability between Immersive Edge and that organisation is dealt with under their separate agreement.
10. Term and termination
This EULA takes effect when you first accept it and continues for as long as you have Authorised Access. It ends automatically when your Authorised Access ends. We may also suspend or terminate your licence immediately if you breach this EULA.
On termination you must stop using the Software, and your right to access it ceases. Clauses 5 (in respect of Your Inputs), 6, 7, 9 and 11 survive termination.
11. General
Changes. We may update this EULA from time to time. The current version will always be available at /eula/. If you continue to use the Software after we publish an updated EULA, you accept the updated terms.
Entire agreement. This EULA is the entire agreement between you and Immersive Edge regarding your personal use of the Software, and replaces any prior understanding between you and us on that subject. This clause does not affect the agreement between Immersive Edge and the organisation that arranged your access (see clause 3).
No waiver. A failure to enforce any provision of this EULA is not a waiver of it.
Severance. If any provision of this EULA is found to be unenforceable, the remaining provisions continue in force.
Third parties. A person who is not a party to this EULA has no right to enforce it.
Governing law. This EULA is governed by the law of Scotland, and you and Immersive Edge submit to the exclusive jurisdiction of the Scottish courts.
